Corporate governance arrangements definethe responsibilities, authorities and accountabilities ofowners, boards of directors, and executive managers of acompany.Good corporate governance is as important forstate financial institutions as for private sectorcompanies.Many of the problems that commonly afflict statefinancial institutions can be associated with, if notattributed directly to, weaknesses in corporate governance.This note draws on guidelines recently published by the OECDand the Basel Committee for Banking Supervision to compile acomprehensive corporate governance evaluation frameworkrelevant to state-owned commercial and development financeinstitutions.It highlights aspects of this framework thatare considered to be of particular importance to statefinancial institutions by citing innovative practices in anumber of countries.Finally, it presents a detailed casestudy of the governance arrangements in place at theDevelopment Bank of Southern Africa.
