This report assesses Croatia'scorporate governance policy framework for publicly tradedcompanies. It highlights recent improvements in corporategovernance regulation, makes policy recommendations, andprovides investors with a benchmark against which to measurecorporate governance in Croatia. It is an update of the 2001corporate governance Report on the Observance of Standardsand Codes (ROSC). Croatia has experienced rapid andsubstantial reform over the last decade. New institutionshave been created and the roles of private ownership andmarket forces have expanded. This rapid pace of reform hascontinued to meet the various requirements for membership inthe European Union (EU). Since the 2001 ROSC there have beensubstantial legal and regulatory changes, many of whichaddress shortcomings identified in the 2001 assessment.Since 2001, Croatia has undertaken substantial legal andregulatory change that has led to a number of improvementsin the framework for corporate governance. The two stockexchanges were recently merged and a code of corporategovernance introduced. Reform continues as Croatia workstowards joining the EU. The real economy has also performedwell, valuations have risen rapidly, and investment fundassets are growing strongly.
