【 摘 要 】

Currently, the construction of business in a competitive environment allows the management of companies to better understand the importance of not just the Declaration, but the actual implementation of effective management tools in the practice of the company, which ultimately leads to a convergence of the form and essence of corporate governance. Companies should implement individual components of corporate governance, taking into account their business goals and objectives, the stage of development of the organization, as well as the expectations of the company from the point of view of all stakeholders. The introduction of the practice of active involvement of portfolio investors in the corporate management of investment assets will help to improve the development of corporate governance in Russia. The management of Russian companies should recognize that certain corporate governance tools should be implemented based on business objectives, the stage of development of the company, as well as stakeholders. Simple compliance is no longer an effective means of creating and maintaining value. Each corporate governance structure and process needs to be rethought in terms of how they actually contribute to better risk management and opportunities. And on this basis, a program for the development of corporate governance, understandable to all participants in the process, should be adopted.
